Terms of Service
These Terms govern access to the zapIQ website and business software platform operated by ZAP PRIVATE LIMITED.
1. Operator and acceptance
ZAP PRIVATE LIMITED (“zapIQ”, “we”, “us”, or “our”) operates the zapIQ website and platform. By accessing or using the service on behalf of a business, you agree to these Terms and confirm that you are authorized to bind that business.
2. Business eligibility
zapIQ is offered to businesses and their authorized adult representatives in India. It is not a consumer or children's service. You must provide accurate account information and use the service only within the authority granted by your organization.
3. Enterprise agreements take precedence
If your organization has signed a master services agreement (“MSA”), order form, data-processing agreement, statement of work, or similar written agreement with us, that agreement controls to the extent it conflicts with these public Terms.
4. The service
zapIQ provides enterprise audience intelligence, activation, measurement, and reporting capabilities. Features may include customer-authorized connections to advertising, data, and communications providers. We may improve or change the service, provided we honour applicable signed agreements.
Unless expressly stated in an applicable agreement, zapIQ does not act as the customer's advertising agency, create or manage advertising campaigns, or guarantee audience match rates, campaign delivery, or commercial outcomes.
5. Customer data and authority
Your organization retains its rights in data it provides or authorizes zapIQ to access. You are responsible for ensuring that:
- you have the authority, notices, permissions, and consents required to provide and use that data;
- the data and instructions are lawful, accurate, and appropriate for the requested purpose;
- audience activation complies with applicable advertising-platform policies and customer-list terms; and
- your instructions do not violate another person's rights or contractual restrictions.
You authorize us to process customer data and interact with connected providers only as needed to deliver the service, follow documented instructions, protect the platform, and meet legal obligations.
6. Acceptable use
You must not use zapIQ to:
- break the law, discriminate unlawfully, deceive people, or cause harm;
- upload data you are not authorized to use or target sensitive groups unlawfully;
- probe, bypass, disable, or interfere with security, access controls, usage limits, or audit mechanisms;
- introduce malicious code, scrape the service, or access another customer's workspace;
- reverse engineer the service except where applicable law expressly permits it; or
- resell, sublicense, or provide the service to an unauthorized third party.
7. Accounts and security
You are responsible for protecting credentials, limiting access to authorized personnel, keeping roles current, and promptly notifying us of suspected unauthorized use. You must not share provider passwords or OAuth tokens with zapIQ personnel by email or other unsecured channels.
8. Third-party platforms
Google, Meta, and other connected services are independent third parties governed by their own terms, privacy policies, APIs, access reviews, and availability. You authorize zapIQ to send instructions and receive data through a connected account. We are not responsible for provider outages, policy changes, account restrictions, or actions outside our control.
You may disconnect a provider. Disconnecting stops future zapIQ access and initiates credential and zapIQ-created audience cleanup as described in our Privacy Policy.
9. Privacy and confidentiality
Our Privacy Policy describes our handling of personal data. Confidentiality, security, data-processing, audit, and incident obligations may also be set out in the applicable MSA or order form. Each party must protect the other party's confidential information using reasonable care and use it only for the agreed relationship.
10. Intellectual property
We and our licensors retain rights in zapIQ, including its software, models, workflows, interfaces, documentation, trademarks, and service-generated technology. Subject to the applicable agreement, we grant your organization a limited, non-exclusive, non-transferable right to use the service during the agreed term.
Your organization retains rights in its data, materials, and trademarks. If you provide feedback, you permit us to use it without restriction or payment, provided we do not identify your organization publicly without permission.
11. Fees
Fees, taxes, usage measures, invoicing, payment terms, credits, refunds, and renewal rules are governed by the applicable order form or other signed commercial agreement. These public Terms do not create a paid subscription by themselves.
12. Suspension and termination
We may suspend access where reasonably necessary to address a security threat, unlawful use, provider restriction, material breach, non-payment under an applicable agreement, or risk to another customer. Where practicable, we will give notice and an opportunity to cure.
Termination rights and effects are governed by the applicable agreement. On termination, access ends and data is returned, retained, or deleted in accordance with that agreement, our Privacy Policy, and applicable law.
13. Disclaimers and liability
The service depends on customer data, third-party providers, and probabilistic audience matching. Except for commitments expressly made in a signed agreement, the service is provided on an “as available” basis to the extent permitted by law.
Warranties, indemnities, exclusions, and liability limits are governed by the applicable signed agreement. If no signed agreement applies, each party's liability is determined under applicable law. Nothing in these Terms excludes liability that cannot lawfully be excluded.
14. Governing law
These Terms are governed by the laws of India. Unless an applicable signed agreement provides another dispute process, the courts in Bengaluru, Karnataka have exclusive jurisdiction.
15. Changes and contact
We may update these Terms to reflect service or legal changes. The revised version applies from the effective date published above. Material changes may also be communicated through the service or to the customer's designated contact.
